On December 28, Yu Diamond announced that the company’s controlling shareholder Henan Huajing Diamond Co., Ltd. (“Henan Huajing”) and Henan Agricultural Investment Gold Co., Ltd. (referred to as “Agricultural Investment Gold Control”) were in 2018. On December 27, the “Supplemental Agreement of the Equity Transfer Agreement (II)” was signed. The 74.06 million shares of the 1.01 million shares of Yu Diamond agreed in the original agreement were transferred at a price of RMB 4.60 per share. The total price was RMB 344 million. .
The announcement shows that when the above stocks are subject to change transfer conditions, the two parties will cooperate with one transaction and handle the transfer procedures.
Previously, the two parties signed the "Equity Transfer Agreement" and the "Supplemental Agreement of the Equity Transfer Agreement" on September 4, 2018 and November 1, 2018 respectively. The two parties will take the 101 million shares of the listed company held by Henan Huajing. The transfer of RMB 4.60 per share to the relevant matters of the Agricultural Investment Gold Control was agreed.
As of the announcement date, Henan Huajing has transferred 14.686 million shares (1.22% of the company's total share capital) held by the company to the Agricultural Investment Financial Control through bulk transactions.
